Process & Deliverables:

Our process is divided into three phases: (1) planning, development, and outreach; (2) cultivation and vetting; and (3) structuring deals and negotiating. GBS has developed a preliminary target list in the event that we are engaged.

  • To identify qualified prospects who are interested in exploring selling their company to you, we will:

    1. Craft the Acquisition Plan that includes:

    • Your acquisition criteria

    • Value proposition and opportunities for being part of FCA

    • Selling price range for target firms

    • Guidelines for deal elements and offers

    2. Conduct research to identify target companies that meet your criteria

    3. Write teaser letters and/or emails that outline the opportunity

    4. Develop and implement a lead generation campaign that includes direct mail letters, emails, and/or phone calls

  • Once prospects express an interest in exploring the opportunity, we will:

    1. Get Nondisclosure Agreements signed

    2. Strive to uncover the prospect’s motivations for selling

    3. Qualify the prospect’s needs and desires

    4. Clarify the prospect’s historical cash flow and estimated future cash flow

    5. Estimate the prospect’s value

    6. Create forward-looking cash flow models to estimate the profits that may be realized by integrating the prospect or acquihire into your operation

    7. Provide our assessment of the opportunities

    8. Coordinate calls and meetings with you and the prospective sellers

  • 1. Recommend the deal structure and terms (i.e., down payment, deferred payments, phantom shares, employment contract, etc.)

    2. Develop safeguards to protect your investment such as earn-out and contingency provisions

    3. If you say “go,” present the deal structures, terms, and opportunities

    4. Negotiate the terms

    5. Craft Letters of Intent or Term Sheets

    6. Coordinate transactional due diligence and negotiation of purchase documents with attorneys and CPAs

    7. Get the deals closed for you
